Quarterly RNIE notice: Penalties for Non-Compliance



Submission of the quarterly notice to the National Registry of Foreign Investments (RNIE), the deadlines for its submission, and the penalties for non-compliance.


Article 32 of the Foreign Investment Law (LIE) establishes that Mexican companies with foreign investment must register with the National Registry of Foreign Investments (RNIE) and comply with certain periodic notices and obligations with the Ministry of Economy (SE). Among these obligations is the submission of an annual economic report and the presentation of quarterly notices, which require providing updated financial information on the economic activities carried out in the country.


Quarterly Notice


According to Article 38 of the Regulation of the Foreign Investment Law (RLIE), entities are required to submit the quarterly notice if they experience changes in their name, fiscal address, or capital variations. The quarterly notice must also be filed in the event of modifications to the name, address, or corporate reason, fiscal address, and economic activity. Additionally, it is necessary to report on variations exceeding 20 million pesos in share capital, shareholding structure, and in income or expenses arising from contributions and reserves, acquisition or disposition of profits from the last fiscal year, as well as loans payable or receivable from subsidiaries or foreign investors residing abroad.


Deadline for Submitting the Quarterly Notice


The notice must be submitted within 10 business days following the end of each quarter:

- January to March

- April to June

- July to September

- October to December


Penalties for Not Submitting the Quarterly Notice


The authority may impose fines ranging from 30 to 100 times the daily UMA (between $3,257.10 and $10,857.00 for 2024) for the omission or late submission of quarterly notices, as stipulated in Article 38, Section IV of the LIE. Therefore, it is important for companies to stay on top of this legal requirement.
